HIDDEN RIVER ASSOCIATION, INC.
The homeowners of Hidden River Subdivision, in Sarasota County, Florida (herein, the Subdivision) have associated themselves as a not-for-profit corporation under the laws of the State of Florida, subject to the following provisions.
ARTICLE I
The name of the Corporation shall be HIDDEN RIVER ASSOCIATION, INC. (Herein, "the Association"). The office address of the Association shall be determined from time to time by the Association Board of Directors and at the time of filing these Amended and Restated Articles of Incorporation in 2000 shall be 3468 Hidden River Road, Sarasota, FL 34240.
ARTICLE II
A. The purposes for which this Corporation is organized are as follows:
1. To maintain a not for profit organization under the laws of Florida, composed of the homesite owners of Hidden River Subdivision, a subdivision of Sarasota County, Florida (herein, "the Subdivision"), in order that said owners may coordinate their efforts towards maintaining and beautifying the Subdivision, and for the purpose of promoting social and recreational gatherings for its members, their families and friends, towards the end of cementing a good fellowship and socially cooperative spirit in this community.
2, To consider and deal by all lawful means with common problems involved in the Subdivision and to secure cooperative action in advancing common purposes of the members of the Association.
3. To enforce the Restrictions of the Subdivision, as originally recorded at Official Records Book 762, Page 324 et seq. And as amended and restated at Instrument 199134132, of the Public Records of Sarasota County, Florida, and as subsequently amended (herein "the Restrictions"), and to otherwise exercise all powers and duties of the Association provided therein.
4. To buy, own, hold, lease, sell, mortgage or otherwise acquire and dispose of any and all kinds of real and personal property which may be necessary and appropriate for the accomplishment of any purposes set forth in this Article.
5. To appear before political subdivisions, commissions and administrative bodies in all matters affecting the interests of the Subdivision.
B. The Association is organized and operated exclusively for the purposes set forth herein, and for other not-for-profit purposes, and no part of any net earnings shall inure to the benefit of any private member.
ARTICLE III
The owners of each homesite, as defined in the Restrictions, shall be a member of this Association. The voting rights, privileges and responsibilities of the Association members shall be as provided in the Association Bylaws.
ARTICLE IV
This Corporation shall have perpetual existence.
ARTICLE V
The names and addresses of the subscribers to these Articles of Incorporation are as follows:

ARTICLE VI
The Association shall be governed by its Board of Directors, which shall be elected as provided in the Association Bylaws. The number of Directors of the Association shall be as provided in the Association Bylaws but shall never be less than three (3).
ARTICLE VII
The business of the Association shall be administered by a President, Vice President, Secretary and Treasurer, who shall be elected by the Board of Directors at its annual organization meeting and who shall each serve for a term of one (1) year or until their respective successors are elected and qualified, except in the case of resignation or removal.
ARTICLE VIII
These Articles of Incorporation may be amended by majority vote of the Board of Directors of the Association followed by majority vote of the members of the Association (that is, by the affirmative vote of a majority of the members voting in person and by proxy), at duly called and convened meetings thereof.
ARTICLE IX
The Bylaws of the Association may be amended or repealed by majority vote of the Board of Directors of the Association followed by majority vote of the members of the Association (that is, by the affirmative vote of a majority of the members voting in person and by proxy), at duly called and convened meetings thereof.
ARTICLE X
The registered agent and registered office of Association shall be determined from time to time by the Association Board of Directors. On the date of the filing of these Amended and Restated Articles of Incorporation in 2000, the registered agent and office shall be Hank Hinman at 4022 Hidden River Lane, Sarasota, FL 34240.
